Restaurant Service Agreement

This Service Agreement is entered into between Whats Good and the restaurant, business, or organisation subscribing to the service. By subscribing or making payment through Stripe, you agree to be bound by this Agreement.
1. Description of Service
Whats Good is a digital menu enhancement platform that provides digital menu displays, item descriptions, photographs, customer reviews, menu management tools, and insights relating to customer reviews.
Whats Good operates alongside your existing ordering process and does not replace, manage, or process restaurant orders, payments, reservations, or point-of-sale systems unless explicitly stated in writing.
2. Onboarding Services
Where applicable, the Client agrees to purchase a one-time onboarding service to enable use of the platform.
The onboarding service may include: Menu creation, Photograph creation, Account configuration, QR code implementation, Other implementation services agreed between the parties.
The Client is responsible for providing all information, menus, images, branding and other materials reasonably requested by Whats Good through the onboarding form or other agreed method. Onboarding typically takes 1–2 weeks from the date all required information has been received. A Whats Good onboarding specialist will arrange a follow-up appointment and provide an estimated completion date. The onboarding fee is a one-time charge and is non-refundable once payment has been made, except where required by applicable law.
3. Subscription and Payment
Access to the service is provided on a subscription basis. Subscription fees are charged through Stripe according to the pricing plan selected by the Client.
All fees are non-refundable unless required by law or otherwise agreed in writing. Failure to make payment may result in suspension or termination of access to the platform.
4. Cancellation and Refund Policy
Clients may cancel their subscription at any time through their account settings or by providing written notice to Whats Good. Cancellation will take effect at the end of the current billing period.
Access to the service will remain available until the end of that billing period. Subscription fees already paid are non-refundable, including for partial months or unused portions of a subscription period, except where required by applicable law.
Whats Good reserves the right to suspend or terminate accounts that violate these Terms of Service or engage in fraudulent, abusive, or unlawful activity. Following cancellation or termination, access to the platform may be removed and stored data may be deleted after a reasonable retention period.
5. Client Responsibilities
The Client is responsible for ensuring that menu titles, descriptions, pricing, allergen information, and other content are accurate and up to date.
The Client is also responsible for ensuring that any images uploaded or provided are owned by the Client or used with appropriate permission, and that the platform is used lawfully and ethically.
The Client acknowledges that inaccurate menu information may result in customer complaints, and Whats Good is not responsible for losses arising from such inaccuracies.
6. Reviews
Customer reviews submitted through the platform may be displayed publicly within the service.
Whats Good reserves the right to remove reviews that are fraudulent, offensive, abusive, defamatory, spam, or otherwise unlawful.
Whats Good does not guarantee the accuracy of customer reviews and is not responsible for opinions expressed by users.
7. Service Availability
We will use reasonable efforts to maintain the availability and performance of the platform. However, the service is provided "as is" and "as available".
We do not guarantee uninterrupted access or that the service will be free from errors or downtime.
8. Intellectual Property
Whats Good retains all ownership rights, title, and interest in the platform, software, branding, and technology.
The Client retains ownership of its business name, menu content, trademarks, photographs, and branding materials.
The Client grants Whats Good a non-exclusive licence to display menu content and branding solely for the purpose of providing the service.
9. Limitation of Liability
To the maximum extent permitted by law, Whats Good shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, profits, business opportunities, or reputation.
Our total liability arising out of or related to this Agreement shall not exceed the amount paid by the Client to Whats Good during the previous twelve months.
10. Termination
Either party may terminate this Agreement by providing written notice.
Upon termination, access to the platform may be removed, future subscription charges will cease, and historical data may be deleted after a reasonable retention period.
11. Privacy and Data Protection
Whats Good will process data in accordance with its Privacy Policy. The Client acknowledges that customer feedback, reviews, and account information may be stored and processed for the operation of the service.
12. Modifications
Whats Good may update this Agreement from time to time. Continued use of the service after updates constitutes acceptance of the revised terms.
13. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
